Affiliate Partner Programme Agreement

This is the full contract that governs promoting TESBookings as an affiliate. Read it before you register. When you sign up you confirm you have read and accepted it.

1. 1. Parties and definitions

   This Affiliate Partner Programme Agreement (the "Agreement") is made between TESBookings ("TESBookings", "we", "us") and the individual or entity who signs or accepts it (the "Partner", "you").

   "Booking" means a completed and paid travel reservation made by a referred customer through your Affiliate Link. "Qualified Booking" means a Booking that has not been cancelled, refunded in full, or reversed as chargeback within the Return Window. "Affiliate Link" means the tracked link or code we issue to you. "Net Revenue" means the amount actually retained by TESBookings for a Qualified Booking after supplier costs, taxes, card fees, refunds and chargebacks.

2. 2. Appointment

   We appoint you as a non-exclusive affiliate to promote TESBookings travel bookings using the Affiliate Link. Nothing in this Agreement creates a partnership, joint venture, agency, employment or franchise relationship, and you may not hold yourself out as able to bind TESBookings or to act as its agent.

   You are an independent contractor. You are responsible for your own costs, tools, staff, insurance, and any registrations or licences your own activity requires.

3. 3. Your obligations

   You must present TESBookings accurately and lawfully, and must not make claims about prices, availability, refunds, visa rules, insurance cover or travel restrictions that we have not confirmed.

   You must comply with all applicable advertising, consumer-protection, spam and accessibility rules, including clearly disclosing that your links are paid affiliate links wherever such disclosure is required.

   You must not: register or use domain names or search keywords that impersonate TESBookings; bid on our trademarks in paid search without written permission; send unsolicited commercial email or SMS; use cloaked, misleading or incentivised links; or issue coupons, rebates or discounts that we have not authorised in writing.

   You must keep the Affiliate Link intact, including its tracking parameters, and must not alter it or wrap it in a redirect that hides the destination.

4. 4. Commission

   For each Qualified Booking we will pay you the commission rate shown in your affiliate dashboard, calculated on Net Revenue. The standard rate is 5% of Net Revenue unless we have agreed a different rate with you in writing.

   Commission accrues when the travel in the Qualified Booking has been completed, or when the booking is otherwise non-refundable and fully paid, whichever happens first.

   If a booking is cancelled, refunded, or reversed within the Return Window of 30 days from the payment date, no commission is payable and any amount already paid is clawed back from your next settlement or invoiced to you.

   We may vary the standard commission rate prospectively by giving you at least 30 days' written notice. Rates in force at the time a customer clicks your Affiliate Link continue to apply to that customer's booking for 60 days.

5. 5. Attribution and tracking

   A booking is attributed to you when the customer's first tracked click on your Affiliate Link falls inside a 30-day cookie window and the booking is completed before that window expires.

   Where more than one affiliate channel contributed, the last tracked click before the booking receives commission, except that we will not pay for a click that is our own owned channel (for example a customer who already has a TESBookings account).

   We determine attribution using our tracking systems. If our systems fail, we may attribute manually using the best available evidence. We have no obligation to pay for bookings we cannot reasonably attribute to you.

6. 6. Payment

   We settle commission monthly, in arrears, for commission accrued in the previous calendar month, once your pending balance reaches the minimum payout of 50 USD (or local equivalent). Balances below the minimum roll forward.

   We pay by bank transfer or by the payment provider we nominate, within 21 days of the end of the month being settled. We may hold a settlement while we investigate suspected fraud, click abuse or a returned payment.

   You must give us accurate payment details and tax documentation before the first payment. If you are required to withhold tax, you must tell us and provide the paperwork we need.

   We are not responsible for payment failures caused by details you failed to correct after we told you they were wrong.

7. 7. Data protection and privacy

   You must not collect personal data on behalf of TESBookings, and must not pass customer lists, purchase histories or travel documents to us unless the customer has clearly consented to that transfer.

   Where you place a pixel, tag or cookie that identifies a customer to us, you must have a lawful basis and a compliant notice and consent mechanism in place before you do so.

   Each party remains an independent controller of the personal data it processes. You must notify us promptly, and within 48 hours of becoming aware, of any personal-data breach that involves information you received from us.

8. 8. Intellectual property and brand use

   We grant you a limited, revocable, non-exclusive licence to use our name, logo and approved creative solely to promote TESBookings under this Agreement. You acquire no ownership in them.

   You must use the logo exactly as supplied, without recolouring, stretching, adding effects, or cropping. You must not register our marks as any part of a domain name, business name, social handle or app name.

9. 9. Term, suspension and termination

   This Agreement starts when you accept it and continues until either party ends it. You may end it at any time by notice. We may end it, or suspend your account, at any time by notice.

   We may suspend or terminate immediately and without notice where we reasonably believe you have committed fraud, click or booking manipulation, trademark abuse, unlawful marketing, or conduct that damages TESBookings.

   On termination, commission for Qualified Bookings attributed to you before the termination date is still paid under clause 6, provided the booking completes. Commission for bookings completed after termination is not payable.

10. 10. Liability

    Neither party is liable to the other for indirect or consequential loss, loss of profit, loss of goodwill or loss of business opportunity, except where that exclusion is not permitted by law.

    Our total liability to you under this Agreement is limited to the commission payable in the twelve months before the event giving rise to the claim.

    You indemnify us against claims, losses and costs arising from your marketing, your statements to customers, and your breach of this Agreement.

11. 11. General

    This Agreement is governed by the laws of the jurisdiction in which TESBookings is registered, and the parties submit to the exclusive jurisdiction of its courts, without affecting mandatory consumer protections in your country.

    If any clause is unenforceable, the rest continues in force. A change is only valid if we confirm it in writing. We may assign this Agreement; you may not without our consent.
